COMMITTEE MEMBERS, CEOS AND DIRECTORS: IS THERE ANY ALIGNMENT BETWEEN NOMINATION, SUCCESSION AND EVALUATION AND THE COMPENSATION SYSTEM PRACTICED?

This article seeks to verify whether there exists alignment between nomination, evaluation and succession of CEOs, Directors and Committee members and the compensation system following the precepts of the structure of corporate governance. The literature indicates the existence of works dealing with aspects of governance and compensation in isolation, but not in combination. The research uses the exploratory method and the interview technique, with companies who follow the differentiated levels of corporate governance of the Bovespa (level 1, level 2 and new market). Its main conclusion is that the alignment occurred in five of the thirty nine inferences tested, juxtaposing the elements of the Structure of Corporate Governance with elements of the System of Compensation of Managers.Downloads
